Board of Supervisors Minutes
May 6, 2019

The Tama County Board of Supervisors met at 9:30 a.m. May 6, 2019.  Present:  1st District Supervisor, Larry Vest; 2nd District Supervisor, Kendall Jordan and 3rd District Supervisor, Dan Anderson.

Motion by Anderson, seconded by Vest to approve the minutes of the April 29th regular meeting.   All voted aye.  Motion carried. 

The Board met with Lyle Brehm, Tama County Engineer, to get a road projects report.  Mr. Brehm asked the Board to approve a resolution to set a public hearing for a proposed road vacation.  Motion by Vest, seconded by Anderson to approve the following resolution:
RESOLUTION FOR ROAD VACATION PUBLIC HEARING
TAMA COUNTY
Resolution No. 5-6-2019B
WHEREAS, a request from the County Engineer has been filed with the Tama County Board of Supervisors asking that action be taken to vacate and close a section of Tama County Secondary Road, more specifically commencing between the NW corner of Section 12, T85N, R16W, and continuing easterly to the NE corner of Section 7, T85N, R15W, also known as 170th Street between F Avenue and Highway T55, originally established on May 9, 1869 (See Road Calendar Book B, page 184) and on January 9, 1889 (See Road Calendar Book C, page 198) all lying in Sections 1 and 12, T85N, R16W and Sections 6 and 7, T85N, R15W of Tama County, Iowa, and
WHEREAS, the intention of this road closure is to vacate that portion of the road that is unused and unnecessary for access, and
WHEREAS, interest has been expressed by a representative of a landowner to vacate a portion of the road,
THEREFORE BE IT RESOLVED that a hearing on the proposed vacation will be held in accordance with Iowa Code Chapter 306. Said meeting shall take place at 10:00 am on May 28th, 2019 at:  Board Room Tama County Administration Building 104 W State St. Toledo, IA  52342.

Roll Call Vote: Vest, aye.  Anderson, aye.  Resolution passed and adopted this 6th day of May, 2019.  Kendall Jordan, Chairman, Board of Supervisors.  Laura Kopsa, County Auditor.

Motion by Anderson, seconded by Vest to re-appoint Doug Sienknecht, Gladbrook, to the Veterans Affairs Commission.  This will be for a term running through 6/30/2021.  All voted aye.  Motion carried. 

The County has been notified that UMB, Bank, N.A. has taken over as registrar and paying agent for Banker Trust for the County’s bonds.  Therefore, the County needs to adopt a resolution consenting to the assignment of the trustee agent agreement; escrow agent agreement and paying agent and registrar and transfer agent agreements.  Motion by Vest, seconded by Anderson to approve the following resolution:

Resolution consenting to assignment of Trustee Agent Agreements; Escrow Agent Agreements; and/or Paying Agent and Registrar and Transfer Agent Agreements

            WHEREAS, the Board of Supervisors of Tama County, Iowa (the “County”), has adopted certain resolutions (the “Resolutions”) duly authorizing and providing for the issuance of certain bonds, notes or other obligations (collectively, the “Outstanding Obligations”); and
                WHEREAS, pursuant to the Resolutions, the County appointed Bankers Trust Company, Des Moines, Iowa (“Bankers Trust”), as the registrar and paying agent for the Outstanding Obligations and approved the execution of Paying Agent and Registrar and Transfer Agent Agreements with Bankers Trust with respect to the Outstanding Obligations; and
                WHEREAS, in connection with the issuance of certain Outstanding Obligations, the County may have also entered into certain Trustee Agent Agreements and/or Escrow Agent Agreements with Bankers Trust; and
                WHEREAS, UMB Bank, n.a. (“UMB”) will acquire the corporate trust business of Bankers Trust, and any existing Trustee Agent Agreements; Escrow Agent Agreements; and Paying Agent and Registrar and Transfer Agent Agreements (collectively, such Agreements are hereinafter referred to as the “Agreements”) between the County and Bankers Trust will be assigned by Bankers Trust to UMB; and
                WHEREAS, Bankers Trust and UMB have requested that the County consent to the assignment of the Agreements;
                                NOW, THEREFORE, It Is Resolved by the Board of Supervisors of Tama County, Iowa, as follows:

Section 1.        The County hereby consents to the assignment of the Agreements from Bankers Trust to UMB.  The Chairperson and the County Auditor are hereby authorized to execute such documents as may be necessary to carry out the assignment of the Agreements, including the “Acknowledgment to Assignment” that has been prepared by Bankers Trust and presented to the County. 

                Section 2.            The effective date of the assignment of the Agreements shall be as set forth in the Acknowledgment to Assignment. 
                Section 3.            To the extent that the County has continuing disclosure requirements pursuant to Rule 15c2-12 of the Securities Exchange Act relative to the Outstanding Obligations, the County will cause a notice of the assignment of the Agreements to be posted on the MSRB Electronic Municipal Market Access (EMMA).
                Section 4.            All resolutions or parts thereof in conflict herewith are hereby repealed to the extent of such conflict.

Motion by Anderson, seconded by Vest to approve a fireworks permit for the City of Vining for June 29, 2019.  All paperwork and permits appear in order.  All voted aye.  Motion carried.

Motion by Anderson, seconded by Vest to approve the claims for payment as presented.  All voted aye.  Motion carried.

Chairman Jordan adjourned the meeting at 9:55 a.m.
